Job Description
- The company secretary is charged with the duty of ensuring the effective administration of the company through the organization of executive meetings, the circulation of reports and decisions as well as ensuring the execution of decisions in line with the company’s memorandum and articles of association.
- S/he is also charged with the responsibility of ensuring that the company complies with all legal and regulatory requirements governing the organization, whether industry specific or generally required of all companies.
Responsibilities
As the Company Secretary, you will be expected to carry such duties but not limited to:
- Providing leadership for the Directorate of Company affairs and secretarial functions for the Company.
- Advising on good governance practices and compliance of corporate governance norms as prescribed under various Corporate, Securities and Other Business Laws and regulations and guidelines made thereunder.
- Ensure the filing, registering of any document including forms, returns and applications by and on behalf of the company being an authorized representative in line with the requirements of the provisions of the Companies Law.
- Co-coordination of board/general meetings/management & strategic meetings, draft the minute of meetings and follow-up actions thereof.
- Custodian of corporate records, statutory books and registers of the company as required under the provisions of the Companies Law.
- To carry on correspondence with the directors/shareholders of the company on various matters.
- Preparation, approval, sign and seal agreements leases, legal forms, and other official documents on the company’s behalf, when authorised by the board of the directors or the executive responsible.
Qualifications
- Candidates should possess a B.L Degree (Qualifying Call to Bar Certificate).
- LL.B (Bachelor of Law) from a reputable and recognised Nigerian Academic Institution.
- NYSC, discharge or Exemption Certificate.
- Certificate from the Institute of Chartered Secretaries and Administrators of Nigeria is an added advantage
- LL.M is an added advantage.
- Must have 15-25 years post Call to Bar experience.
